PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE TENEO NODE APPLICATION OR OUR SERVICES. ANY USE INDICATES THAT YOU HAVE READ, UNDERSTOOD, ACCEPTED, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

IF YOU DO NOT ACCEPT THESE TERMS OF SERVICE, YOU ARE PROHIBITED FROM INSTALLING, ACCESSING, OR OTHERWISE USING OUR SERVICES.

PLEASE NOTE: IF THERE IS A DISPUTE BETWEEN US, IT WILL BE ARBITRATED. Additional details are below in the "DISPUTE RESOLUTION" Section.

1. INTRODUCTION

ELOOP Foundation, a non-profit Swiss Foundation ("ELOOP Foundation", "we", "us", or "our") provides the Teneo Node application for desktop and mobile devices (the "Application") that may be used for accessing the Teneo network (the "Network"). The Network is a decentralized network of autonomous AI agents based on the Teneo software protocol, a decentralized system of smart contracts, that unlocks real-time data from social media platforms and websites. Users may access the Network through the Application, through the Teneo browser extension (the "Browser Extension"), and through our website located at https://teneo.pro/ as well as any other media form, media channel, or mobile website related, linked, or otherwise connected thereto, and any other website operated on which these Terms of Service (as amended from time to time, these "Terms") are posted (collectively, the "Site") and through our related technologies. To make these Terms easier to read, the Site, the Application, the Browser Extension and any related services provided by the ELOOP Foundation, including all existing and any updated or new features, functionality, and technology, are collectively called the "Services."

The Application is a desktop application that connects to the Network. By running the Application, you contribute network resources — including bandwidth and connectivity — to the Teneo ecosystem. These resources are used to support and power the operations of the Network, including data collection, validation, and delivery services. In return, you may earn Teneo Points based on your uptime and contribution to the Network.

Please note that the Services may facilitate interaction with decentralized cryptographic protocols maintained by third-party open-source communities which we do not own or control. These Terms apply to any other website or application operated by ELOOP Foundation on which these Terms are posted.

All access and use of our Services is subject to these Terms. By installing, accessing, or otherwise using the Application, the Network, or any other aspect of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept the terms and conditions of these Terms, you are prohibited from installing, accessing, or otherwise using our Services.

2. AGREEMENT

These Terms are a binding contract between you, an individual user, whether personally or on behalf of an entity ("you" or "your") and us. If you are using our Services on behalf of another person, entity, or other organization, (a) you are agreeing to these Terms on behalf of that person, entity, or organization; (b) representing to us that you have the authority to bind that entity or organization to these Terms; (c) all references to "you" or "your" throughout these Terms will include that person, entity, or organization; and (d) in the event you or the person, entity, or organization violates these Terms, the person, entity, or organization agrees to be responsible to us.

We maintain and operate the Application as a means of participation in the Network. For the avoidance of doubt, the Network is maintained and processed by validators around the world. The protocol consists of certain open-source software and a set of smart contracts. Once deployed, the protocol forms the Network that is neither owned, operated, nor controlled by us (even if we contributed to its initial development). Consequently, we do not control (a) the activity of third parties or any user transacting on the Network; (b) the activity and data on or transitioned over the Network; (c) the validation of transactions on the Network; or (d) the use of the Network. Further, we do not take possession, custody, or control over any virtual currency, digital asset, or any other similar form on the Network, unless expressly stated in a written contract. You acknowledge and agree that we make no representations or warranties with respect to the Network, and that, if you use the Network, you do so at your own risk.

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. These Terms were last revised as indicated at the top of this page. You may read a current, effective copy of these Terms by visiting the "Terms of Service" link in the Application or on the Site. Further, you waive any right to receive specific notice of each such change and it is solely your responsibility to periodically review these Terms to stay informed of updates. You will be subject to and will be deemed to have been aware of and to have accepted, the changes in any revised Terms by your continued use of our Services after the date such revised Terms are posted. Your continued use of our Services after the date any such changes become effective constitutes your acceptance of the changes. If you do not agree to abide by these (or any future) Terms, you will not install, access, or use (or continue to install, access, or use) our Services.

Any promotions made available through the Application or Site will be governed by specific rules that are separate from these Terms. By participating in any such promotion, you will become subject to those rules, which may vary from these Terms. Consequently, supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. Since all such terms are hereby incorporated by reference into these Terms, we urge you to read the applicable rules and review our Privacy Policy which, in addition to these Terms, governs any information you submit in connection with such activities.

3. THE APPLICATION AND NETWORK PARTICIPATION

By installing and running the Application, you acknowledge and agree to the following:

(a) Network Resource Contribution. The Application contributes your device's network resources — including internet bandwidth and connectivity — to the Teneo ecosystem. These resources are utilized to support the operations of the Network, including but not limited to data collection, processing, validation, delivery, connectivity services, and network routing. Resources contributed by you may be made available to authorized participants within the Teneo ecosystem — including enterprise partners, service integrators, and other Network participants — to power their operations within or through the Network. The nature and extent of resource utilization may change as the Network evolves.

(b) Background Operation. The Application operates in the background on your device, including from the system tray. While running, the Application maintains connections to the Network and contributes resources as described herein. You may stop the Application at any time by quitting it.

(c) Teneo Points. You may earn Teneo Points based on your device's uptime and contribution to the Network. The accumulation and value of Teneo Points are determined solely by the Network protocol and are subject to change. We make no guarantees regarding the value, transferability, or future availability of Teneo Points.

(d) Traffic Routing. Network traffic from the Teneo ecosystem — including traffic from authorized enterprise participants and service integrators — may be routed through your device's internet connection. This traffic is used to support Network operations and to provide connectivity services within the Teneo ecosystem. We implement technical safeguards to block prohibited categories of traffic, including but not limited to SMTP (email) traffic, connections to restricted ports, and traffic to private or internal network addresses, in order to prevent misuse and protect your device.

(e) Resource Limits. The Application is designed to operate within reasonable resource limits and should not materially impact your device's performance or internet connection under normal conditions. However, actual resource usage may vary based on network conditions, your internet connection, and other factors.

(f) Your Responsibility. You are solely responsible for ensuring that your participation in the Network complies with all applicable laws, regulations, and the terms of your internet service provider agreement. ELOOP Foundation shall not be liable for any consequences arising from your failure to comply with such laws, regulations, or agreements. You acknowledge that routing network traffic through your internet connection is a fundamental aspect of the Application's functionality and that you have consented to this use by installing and running the Application.

4. WHO MAY (OR MAY NOT) USE OUR SERVICES

You may use our Services only if you are 18 years or older and capable of forming a binding contract with ELOOP Foundation, and not otherwise barred from using our Services under any applicable law or these Terms.

By using our Services, you represent, warrant, agree, and acknowledge that (a) the Office of Foreign Assets Control of the United States Treasury Department, Switzerland, and the European Union do not list you as a specially designated national and/or blocked person; (b) the Bureau of Industry and Security of the United States Department of Commerce does not list you on its denied persons list or lists of parties of concern; (c) neither you, the country you are located in, or persons connected to you, are on any similar list promulgated by an official agency or department of the United States government, the United Nations Security Council, Switzerland, the European Union, or the United Kingdom's Office of Financial Sanctions Implementation; (d) you are not the subject of sanctions administered or enforced by the United States (including without limitation the U.S. Department of the Treasury's Office of Foreign Asset Control), Switzerland, the United Kingdom, the European Union, or any other governmental authority; and (e) you are not organized in or resident of a country or territory that is the subject of country-wide or territory-wide sanctions implemented by any of the foregoing.

Further, you represent, warrant, agree, and acknowledge that you are not located in, a citizen of, or a resident of any of the following jurisdictions: Afghanistan, Belarus, Central African Republic, Cuba, Democratic Republic of Congo, Democratic People's Republic of North Korea, Donetsk People's Republic (DNR) region of Ukraine, Islamic Republic of Iran, Liberia, Mozambique, Myanmar, Luhansk People's Republic (LNR) region of Ukraine, Rwanda, Somalia, South Sudan, Sudan (North), Syria, Uganda, The Crimea, and Zimbabwe. Our services are closed to individuals from these and any other jurisdictions determined solely by ELOOP Foundation.

5. YOUR RESPONSIBILITIES

By using our Services, you acknowledge that you are responsible for maintaining the confidentiality of your credentials and are fully responsible for any and all activities that occur under your credentials.

You agree to not use our Services to:

(a) violate any user agreements or other contracts with any party;

(b) burden IT infrastructure owned by any party;

(c) run multiple instances of the Application on the same device or network in order to artificially inflate Teneo Points or resource contribution metrics;

(d) modify, reverse-engineer, decompile, or disassemble the Application or any part thereof, except to the extent that such restriction is expressly prohibited by applicable law;

(e) distribute any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (iii) poses or creates a privacy or security risk to any person; or (iv) is unlawful, harmful, threatening, abusive, or otherwise objectionable;

(f) seek to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including the deployment of viruses and denial of service attacks;

(g) violate any applicable local, state, national, or international law, or any regulations having the force of law;

(h) engage in any activity that seeks to defraud us or any other person or entity, including providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another;

(i) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

(j) attempt to circumvent any restrictions, rate limits, or security measures implemented by the Application or the Network;

(k) use the Application in any manner that could damage, disable, overburden, or impair our servers, the Network, or any connected systems; or

(l) further or promote any criminal activity or enterprise or provide instructional information about illegal activities.

6. DIGITAL WALLET

To access certain features of the Services, including the receipt or transfer of Teneo Points, you may need to connect a supported third-party digital asset wallet, such as MetaMask or Coinbase Wallet (a "Digital Wallet"), to the Services. All Digital Wallet services are Third-Party Services (as defined below) within the meaning of these Terms. By using a Digital Wallet in connection with the Services, you agree that you are using that wallet under the terms and conditions of the applicable third-party provider of the wallet. Digital Wallets are not operated by, maintained by, or affiliated with the ELOOP Foundation, and we do not have custody or control over the contents and assets of any Digital Wallet, and do not have the ability to retrieve or transfer the contents or assets of any Digital Wallet. We accept no responsibility for, or liability to you, in connection with your use of any Digital Wallet, and make no representations or warranties regarding how the Services will operate with any specific Digital Wallet.

If you elect to make a payment for Services using any digital asset, through the Digital Wallet that you have connected to the Services ("Payments"), you acknowledge and agree that any such transactions will be conducted solely through the blockchain network governing the digital asset and that ELOOP Foundation has no control over such Payments, nor does ELOOP Foundation have the ability to reverse any such Payments. Accordingly, ELOOP Foundation will have no liability to you or to any third-party for any claims or damages that may arise as a result of any Payments or other transactions that you make through the Services. You are solely responsible for keeping your Digital Wallet secure, and you should never share your Digital Wallet credentials, private key or seed phrase with anyone.

7. DISCLAIMERS

ELOOP Foundation reserves the right to modify or discontinue, temporarily or permanently, our Services (or any part thereof) with or without notice. You agree that ELOOP Foundation will not be liable to you or to any third party for any modification, suspension, or discontinuance of our Services. Further, if you are blocked by us from accessing our Services (including by blocking your IP address or revoking your node credentials), you agree not to implement any measures to circumvent such blocking.

All information provided by our Services is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information contained in our Services. Before you make any financial, legal, tax, or other decisions involving our Services, you should seek independent professional advice from an individual who is licensed and qualified in the area for which such advice would be appropriate.

Nothing in these Terms is intended to or shall operate to create a partnership or joint venture between you and ELOOP Foundation or authorize you to act as our agent. These are not intended to (and do not) create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. You further agree that the only duties and obligations that we owe you are those set out expressly in these Terms.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT AS OTHERWISE PROVIDED UNDER AN APPLICABLE CUSTOMER AGREEMENT, OUR SERVICES, INCLUDING THE APPLICATION, ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, SERVICE PROVIDERS, CONTRACTORS OR OFFICERS, DIRECTORS, AND EMPLOYEES SHALL BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES. FURTHER, YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. WE MAKE NO WARRANTY THAT (A) OUR SERVICES WILL MEET YOUR REQUIREMENTS; (B) OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF OUR SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, APPLICATIONS, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH OUR SERVICES WILL MEET YOUR EXPECTATIONS.

BY INSTALLING AND RUNNING THE APPLICATION, YOU REPRESENT AND WARRANT THAT YOU UNDERSTAND THAT THE APPLICATION UTILIZES YOUR DEVICE'S NETWORK RESOURCES, INCLUDING INTERNET BANDWIDTH, TO SUPPORT THE TENEO ECOSYSTEM. YOU ACKNOWLEDGE THAT NETWORK TRAFFIC WILL BE ROUTED THROUGH YOUR INTERNET CONNECTION AND THAT THIS MAY AFFECT YOUR BANDWIDTH USAGE. YOU FURTHER UNDERSTAND THAT THE MARKETS FOR DIGITAL ASSETS ARE HIGHLY VOLATILE AND THAT WE ARE NOT RESPONSIBLE FOR ANY VARIABLES OR RISKS ASSOCIATED WITH DIGITAL ASSETS. ACCORDINGLY, YOU UNDERSTAND AND AGREE TO ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF INSTALLING AND USING THE APPLICATION.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELOOP FOUNDATION WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING DAMAGES FOR LOSS OF GOODWILL, USE, OR DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ELOOP FOUNDATION PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: (A) THE USE OR THE INABILITY TO USE OUR SERVICES; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OUR SERVICES; (E) INTERRUPTION OR CESSATION OF FUNCTION RELATED TO THE APPLICATION OR THE NETWORK; (F) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE APPLICATION OR THE NETWORK; (G) ERRORS OR OMISSIONS IN, OR LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF, ANY CONTENT MADE AVAILABLE THROUGH THE APPLICATION OR THE NETWORK; (H) DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION; OR (I) ANY OTHER MATTER RELATING TO OUR SERVICES.

IF ANY PORTION OF THESE SECTIONS IS HELD TO BE INVALID UNDER THE LAWS OF YOUR STATE OR COUNTRY OF RESIDENCE, THE INVALIDITY OF SUCH PORTION WILL NOT AFFECT THE VALIDITY OF THE REMAINING PORTIONS OF THE APPLICABLE SECTIONS.

THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF DAMAGES ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US.

8. INDEMNIFICATION AND RELEASE

Without limiting any Terms, you agree that you shall defend, indemnify, and hold harmless ELOOP Foundation, its affiliates, subsidiaries, and its and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the "ELOOP Foundation Parties") from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind, and injury (including death) arising out of or relating to your use of our Services, the Application, any User Content, your connection to our Services, your violation of these Terms, or your violation of any rights of another party.

ELOOP Foundation reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section, and you agree to cooperate with any reasonable requests assisting ELOOP Foundation's defense of such matter. You may not settle or compromise any claim against the ELOOP Foundation Parties without ELOOP Foundation's prior written consent.

You expressly agree that you assume all risks in connection with your installation, access, and use of the Application and our Services. Further, you expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your use of our Services. If you are dissatisfied with our Services, you agree that your sole and exclusive remedy shall be uninstalling the Application and discontinuing your use of our Services.

9. IP, USAGE DATA, AND THIRD-PARTY SERVICES

You acknowledge and agree that our Services may contain content or features ("Service Content") that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Except as expressly authorized by us (e.g., to the extent any software is made available under an open-source license), you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on our Services or our Service Content, in whole or in part.

The ELOOP Foundation names and logos are trademarks and service marks of ours (collectively the "Trademarks") and may not be copied, imitated, or used, in whole or in part, without our prior written permission.

You hereby authorize ELOOP Foundation and its third-party service providers to derive statistical and usage data relating to your use of the Application ("Usage Data"). We may use Usage Data for any purpose in accordance with applicable law and our Privacy Policy. Any questions, comments, suggestions, ideas, feedback, reviews, or other information about our Services ("Submissions"), provided by you to ELOOP Foundation are non-confidential and non-proprietary. ELOOP Foundation is entitled to freely use and disseminate these Submissions for any purpose, commercial or otherwise, without acknowledgment, attribution, compensation, or any other obligation to you.

The Application may interact with services, sites, technology, applications, and resources that are provided or otherwise made available by third parties (the "Third-Party Services"). Your access and use of the Third-Party Services may also be subject to additional terms and conditions, privacy policies, or other agreements with such third parties. ELOOP Foundation has no control over and is not responsible for such Third-Party Services. The integration or inclusion of such Third-Party Services does not imply an endorsement or recommendation.

10. CALIFORNIA USERS AND RESIDENTS

If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or releasing party." If you are a resident of another jurisdiction, you hereby waive any comparable statute or doctrine.

11. TERMINATION

These Terms are concluded for an unspecified time unless otherwise agreed in writing. We may terminate these Terms or suspend the Services or your access to the Services at any time, including, without limitation, in the event of your alleged or actual misuse of the Services or breach of these Terms. Upon termination, you must uninstall the Application and cease all use of the Services.

To the fullest extent permitted under applicable laws, the provisions of these Terms will survive any termination of your access to the Services, regardless of the reasons for its expiration or termination.

12. ENTIRE AGREEMENT AND SEVERABILITY

These Terms (together with the terms incorporated by reference herein) constitute the entire agreement between you and ELOOP Foundation governing your installation, access, and use of the Application and our Services and supersedes any and all prior discussions, agreements, and understandings of any kind (including without limitation any prior versions of these Terms).

If any provision of these Terms is determined to be invalid or unenforceable under any rule, law, or regulation of any local, state, or federal government agency, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision of these Terms shall not be affected.

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zug, Switzerland.

14. DISPUTE RESOLUTION

Please read the following section carefully because it requires you to arbitrate certain disputes and claims with any ELOOP Foundation Parties and limits the manner in which you can seek relief from us. No class or representative actions or arbitrations are allowed under this arbitration provision. In addition, arbitration precludes you from suing in court or having a jury trial.

You agree that any dispute arising out of or related to these Terms (or our Services) is personal to you and ELOOP Foundation and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action, or any other type of representative proceeding.

You waive your rights to a jury trial and to have any other dispute arising out of or related to these Terms and our Services resolved in court. Instead, any dispute arising out of or related to these Terms, as well as any issue on its validity and existence, shall be referred to and finally resolved by arbitration administered by the Swiss Arbitration Court in accordance with the Swiss Rules of International Arbitration for the time being in force. The seat of the arbitration shall be in Zug, Switzerland. There shall be one (1) arbitrator, appointed by ELOOP Foundation. The language of the arbitration shall be English.

15. ASSIGNMENT

We reserve the right to assign our rights without restriction, including without limitation to any ELOOP Foundation affiliates or subsidiaries, or to any successor in interest of any business associated with the service. You may not assign any rights and/or licenses granted under these Terms. Any attempted transfer or assignment by you in violation hereof shall be null and void.

16. FORCE MAJEURE

We will not be liable or in default hereunder by reason of any failure or delay in the performance of its obligations or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, civil disturbances, riot, epidemic, hostilities, war, terrorist attack, embargo, natural disaster, acts of God, flood, fire, sabotage, fluctuations or unavailability of electrical power, network access or equipment, interruption in telecommunications or internet services or network provider services, pandemic, other catastrophe or any other occurrence which is beyond our reasonable control.

17. MISCELLANEOUS

The section titles in these Terms are for convenience only and have no legal or contractual effect.

As used in these Terms, the words "include" and "including," and variations thereof, will not be deemed to be terms of limitation, but rather will be deemed to be followed by the words "without limitation."

Notices to you may be made via the Application, email, or regular mail.
